CHAPTER 1 – GENERAL PROVISIONS

Article 1 – Definitions

In these General Terms and Conditions, the following terms have the meanings set out below:

The Yoga Therapy Institute – The educational institution offering yoga therapy programmes, legally operated by The Mango Tree B.V., established in the Netherlands.

The Mango Tree B.V. – The private limited company (besloten vennootschap) that operates The Yoga Therapy Institute.

Participant – The natural person who enrols in a Diploma Programme, a standalone Module, a Short Course, or a Video Series.

Paying Party – The natural person or legal entity that fulfils (part of) the financial obligations under the agreement, where this is a different person from the Participant.

Diploma Programme – A structured learning pathway offered by The Yoga Therapy Institute that, upon full and successful completion, may lead to a yoga therapy diploma, regardless of its name, duration, or structure.

Module – A standalone educational component that forms part of the subject matter of a Diploma Programme and is available for individual purchase, but does not on its own lead to a diploma.

Short Course – A short, self-contained course on a specific yoga therapy topic or theme, intended as introductory or supplementary content. A Short Course may be offered live or on-demand.

Video Series – A budget-friendly product consisting exclusively of video recordings on a specific yoga therapy topic. A Video Series contains no live components.

Educational Materials – All materials provided by The Yoga Therapy Institute, including but not limited to videos, documents, recordings, assignments, and digital learning environments.

Learning Platform – The digital learning platform of The Yoga Therapy Institute through which the Participant receives a personal account upon enrolment and gains access to Educational Materials.

Student Handbook – The handbook published by The Yoga Therapy Institute containing rules, guidelines, and practical information for Participants, which forms an integral part of these General Terms and Conditions.

Payment Plan – A facility offered by The Yoga Therapy Institute allowing the course fee to be paid in fixed monthly instalments.

External Payment Service Provider – A third party offering payment solutions, including deferred or instalment payment, via the Shopify payment platform, in its own name and at its own risk and expense.

Distance Contract – An agreement concluded without the simultaneous physical presence of the parties, using one or more means of distance communication, including the internet.

Right of Withdrawal – The right of the Consumer to withdraw from a Distance Contract within the statutory period.

Consumer – The Participant acting as a natural person for purposes outside their trade, business, or profession.

Digital Content – Educational Materials made available exclusively in digital form.

Website – The website of The Yoga Therapy Institute, available at theyogatherapyinstitute.org.

Article 2 – Identity of the provider

Trading name – The Yoga Therapy Institute

Legal name – The Mango Tree B.V.

Country of establishment – The Netherlands

Website – theyogatherapyinstitute.org

Governing law – Dutch law

Article 3 – Applicability

3.1 These General Terms and Conditions apply to all offers, quotations, agreements, and deliveries by The Yoga Therapy Institute in relation to Diploma Programmes, standalone Modules, Short Courses, and Video Series.

3.2 Deviations from these General Terms and Conditions are only valid if expressly agreed in writing.

3.3 For Diploma Programmes, the separate Education Agreement also applies. In the event of conflict, the Education Agreement prevails, unless the parties have agreed otherwise in writing.

3.4 The Student Handbook forms an integral part of these General Terms and Conditions. In the event of conflict between the Handbook and these General Terms and Conditions, the Handbook prevails on operational and practical matters; on legal matters, these General Terms and Conditions prevail. A revised version of the Handbook takes effect upon publication on the Website and replaces all previous versions.

3.5 Any purchase or other terms and conditions of the Participant do not apply, unless The Yoga Therapy Institute has expressly agreed to them in writing.

Article 4 – Formation of the agreement

4.1 An agreement is formed at the moment the Participant (or the Paying Party on their behalf) accepts the offer of The Yoga Therapy Institute and has met any applicable admission conditions.

4.2 Acceptance may take place by:

  1. signing an Education Agreement;

  2. completing an online enrolment or purchase process; or

  3. making a (down) payment.

4.3 The Yoga Therapy Institute confirms the formation of the agreement in writing or by electronic means.

4.4 The Yoga Therapy Institute is entitled to refuse an enrolment or to request additional information without stating reasons.

Article 5 – Learning Platform and Student Handbook

5.1 Every Participant receives a personal account on the Learning Platform of The Yoga Therapy Institute upon enrolment, regardless of the type of product purchased.

5.2 Through the Learning Platform, the Participant gains access to the Educational Materials relevant to them, in accordance with the conditions applicable to the product concerned.

5.3 The Student Handbook is available via the Learning Platform and the Website. The Participant is required to familiarise themselves with the content of the Handbook and to comply with the rules and guidelines set out therein.

5.4 The Yoga Therapy Institute reserves the right to revise the Student Handbook. A revised version takes effect upon publication. The Participant will be notified via the Learning Platform or by email.

5.5 The Yoga Therapy Institute is entitled to suspend access to the Learning Platform if the Participant fails to fulfil their obligations under the agreement or the Student Handbook.

CHAPTER 2 – DIPLOMA PROGRAMMES

Article 6 – Admission and enrolment

6.1 Admission to a Diploma Programme may be subject to prior education, relevant work experience, and/or an intake procedure.

6.2 The Yoga Therapy Institute sets the admission criteria and has the right to refuse admission if those criteria are not met.

6.3 Enrolment is only confirmed upon written confirmation by The Yoga Therapy Institute and payment of the enrolment fee or first instalment.

Article 7 – Nature and structure of the Diploma Programme

7.1 The Diploma Programme consists of a coherent set of educational components, including but not limited to:

  1. mandatory modules;

  2. live instruction (online and/or in person);

  3. self-study;

  4. examinations, assessments, and evaluations;

  5. graduation or completion components.

7.2 The exact structure, content, and requirements per Diploma Programme are set out in the annex to the Education Agreement.

7.3 Participation in all mandatory components is required for the award of the diploma.

7.4 The Diploma Programme is expressly not intended as a substitute for medical or therapeutic treatment. The Yoga Therapy Institute excludes all liability for the application by the Participant of knowledge acquired during the programme in clinical or therapeutic contexts.

Article 8 – Personal nature of participation

8.1 Participation in the Diploma Programme is strictly personal.

8.2 Rights and obligations under the Education Agreement are non-transferable without the prior written consent of The Yoga Therapy Institute.

8.3 Payment by a Paying Party does not grant that party any right to participate in, access, or exercise influence over the programme.

8.4 Where the Paying Party is a different person from the Participant, the Participant remains independently and personally bound by all obligations under the Education Agreement.

Article 9 – Duration of study and completion deadline

9.1 The nominal duration of study and the maximum completion period are set out in the annex to the Education Agreement.

9.2 If the Participant has not completed the programme within the maximum period, the right to obtain a diploma lapses, unless the parties have agreed otherwise in writing.

9.3 Extensions are only possible under conditions and any additional fees to be determined. Extensions are never granted automatically or by implication.

Article 10 – Progress, assessment, and conduct

10.1 The Yoga Therapy Institute sets the progression standards, assessment criteria, and attendance requirements.

10.2 There is no guaranteed right to obtain a diploma.

10.3 Insufficient progress or professionally inappropriate conduct may result in suspension or termination of participation, without entitlement to a refund.

10.4 The Participant is required to:

  1. act professionally, respectfully, and with integrity;

  2. not make recordings of lessons or sessions without the consent of The Yoga Therapy Institute;

  3. not share, distribute, or make Educational Materials available to third parties;

  4. comply with the code of conduct of The Yoga Therapy Institute as set out in the Student Handbook.

10.5 Violation of Article 10.4 may result in immediate termination of participation and the Participant being held liable for any damage suffered by The Yoga Therapy Institute as a result.

Article 11 – Changes to the programme

11.1 The Yoga Therapy Institute reserves the right to update content, change instructors, and adjust the planning and sequence of the programme.

11.2 The final level and learning objectives shall remain equivalent following any such changes.

11.3 Content changes do not entitle the Participant to terminate the agreement or to a refund, unless the change is material in nature and demonstrably undermines the learning objectives.

11.4 In the event of unforeseen circumstances (including force majeure, illness of instructors, or technical failures), The Yoga Therapy Institute will endeavour to provide an appropriate alternative.

Article 12 – Standalone modules outside a Diploma Programme

12.1 Individually attended Modules do not legally form part of a Diploma Programme, unless this has been expressly confirmed in writing.

12.2 Participation in standalone Modules:

  1. does not entitle the Participant to a diploma;

  2. does not grant access to graduation or completion components of a Diploma Programme.

12.3 Only participation under a valid Education Agreement may lead to certification at diploma level.

CHAPTER 3 – STANDALONE MODULES

Article 13 – Standalone Modules: general

13.1 Modules are individually available educational components that form part of the subject matter of the Diploma Programmes.

13.2 A Module may be offered live or on-demand.

13.3 The agreement for a Module is a Distance Contract, unless otherwise agreed.

13.4 Upon purchase, the Participant receives access to the Educational Materials of the Module for the period stated on the Website or in the order confirmation.

Article 14 – Right of withdrawal for Modules

14.1 For Modules consisting exclusively of Digital Content not supplied on a tangible medium, the following applies:

  1. The Consumer has the right to withdraw from the agreement within fourteen (14) calendar days of the date of formation, without giving reasons.

  2. The right of withdrawal lapses at the moment performance of the agreement begins, provided that: (i) the Participant has expressly consented to performance beginning before the end of the withdrawal period, and (ii) the Participant has acknowledged that they thereby lose their right of withdrawal.

14.2 In any event, the right of withdrawal lapses at the moment the Participant begins accessing or consuming the Digital Content, regardless of whether the fourteen-day withdrawal period has expired.

14.3 A Consumer who withdraws in time will receive a refund of any amounts paid within fourteen (14) days of receipt of the withdrawal notice, via the same payment method used for the original payment.

14.4 Withdrawal must be communicated to The Yoga Therapy Institute in writing or by email.

14.5 The right of withdrawal does not apply to Modules purchased by non-Consumers (business participants).

CHAPTER 4 – SHORT COURSES

Article 15 – Short Courses: general

15.1 Short Courses are short, self-contained courses on a specific yoga therapy topic or theme. They are intended as introductory or supplementary content and are independent of Diploma Programmes and Modules.

15.2 Short Courses are offered via the Website as a digital product and/or as an (online) live programme.

15.3 Participation in one or more Short Courses does not lead to a diploma and does not grant admission to a Diploma Programme.

Article 16 – Right of withdrawal for Short Courses

16.1 For Short Courses consisting exclusively of Digital Content not supplied on a tangible medium, the same rules apply as set out in Article 14 of these General Terms and Conditions.

16.2 For Short Courses with a scheduled start date (live or hybrid): the right of withdrawal lapses seven (7) days before the scheduled start date of the course, or at the moment the Participant has expressly consented to performance beginning before the end of the withdrawal period.

16.3 In any event, the right of withdrawal lapses at the moment the Participant begins accessing or consuming the Digital Content, regardless of whether the applicable withdrawal period has expired.

CHAPTER 5 – VIDEO SERIES

Article 17 – Video Series: general

17.1 Video Series are products consisting exclusively of video recordings on a specific yoga therapy topic. They contain no live components and are intended as accessible introductory or supplementary content.

17.2 Video Series are offered via the Website as a digital product.

17.3 Participation in a Video Series does not lead to a diploma and does not grant admission to a Diploma Programme or access to any completion components thereof.

17.4 Upon purchase, the Participant receives access to the video recordings for the period stated on the Website or in the order confirmation.

Article 18 – Right of withdrawal for Video Series

18.1 A Video Series consists exclusively of Digital Content not supplied on a tangible medium. The right of withdrawal lapses at the moment performance of the agreement begins, provided that: (i) the Participant has expressly consented to performance beginning before the end of the withdrawal period, and (ii) the Participant has acknowledged that they thereby lose their right of withdrawal.

18.2 Outside the situation described in Article 18.1, the Consumer has the right to withdraw from the agreement within fourteen (14) calendar days of the date of formation.

18.3 Withdrawal must be communicated to The Yoga Therapy Institute in writing or by email.

18.4 In any event, the right of withdrawal lapses at the moment the Participant begins accessing or consuming the Video Series content, regardless of whether the fourteen-day withdrawal period has expired.

CHAPTER 6 – FINANCIAL PROVISIONS

Article 19 – Prices and payment

19.1 All prices published on the Website are in euros and exclusive of VAT, unless expressly stated otherwise. The applicable VAT rate is charged separately and displayed at checkout.

19.2 The Yoga Therapy Institute reserves the right to adjust its prices. Price changes after the formation of the agreement do not apply to agreements already concluded.

19.3 Invoices are addressed to the Participant or the Paying Party, depending on the details provided at the time of enrolment.

19.4 Regardless of who makes payment, the Participant remains responsible for fulfilling all obligations under the agreement.

19.5 Payment must be made via the payment methods indicated on the Website or on the invoice.

Article 20 – Payment term and default

20.1 Invoices must be paid within the payment term stated on the invoice. In the event of late payment, statutory commercial interest as referred to in Section 6:119a of the Dutch Civil Code (for commercial agreements) or statutory interest under Section 6:119 of the Dutch Civil Code (for consumer agreements) becomes due.

20.2 In the event of late payment, The Yoga Therapy Institute is entitled to:

  1. suspend access to instruction, the Learning Platform, and Educational Materials;

  2. withhold certification until payment has been made in full;

  3. charge extrajudicial collection costs in accordance with the Dutch Decree on compensation for extrajudicial collection costs (Besluit vergoeding voor buitengerechtelijke incassokosten, Stb. 2012, 141).

20.3 Suspension or termination of participation due to non-payment does not release the Participant from their payment obligation.

Article 21 – Payment Plan (instalment payment) for Diploma Programmes

21.1 For Diploma Programmes, The Yoga Therapy Institute may offer its own Payment Plan, whereby the course fee is paid in fixed monthly instalments directly to The Yoga Therapy Institute.

21.2 The choice of a Payment Plan is recorded at the time of enrolment and forms an integral part of the Education Agreement (Annex 3).

21.3 The Payment Plan constitutes a payment facility only and does not constitute a separate credit or loan agreement.

21.4 The total amount, number of instalments, and instalment amount are set out in the Education Agreement.

21.5 The Payment Plan has a fixed term, regardless of the actual duration of study.

21.6 The full agreed amount remains due in all circumstances, even if the Participant terminates the programme early or participates less actively.

21.7 Monthly instalments are collected automatically via the payment method offered by The Yoga Therapy Institute. The Participant is responsible for maintaining sufficient funds and a valid payment method throughout the entire term.

21.8 Amendments to the Payment Plan are only possible with the prior written consent of The Yoga Therapy Institute.

21.9 Technical disruptions at the external payment provider do not affect the payment obligation towards The Yoga Therapy Institute.

Article 22 – Payment via external payment service providers

22.1 The Yoga Therapy Institute offers various payment methods via its Shopify store through Shopify Payments. One of those methods may be deferred or instalment payment offered by an External Payment Service Provider such as Klarna.

22.2 If the Participant chooses a payment solution offered by an External Payment Service Provider, the instalment arrangement is concluded exclusively between the Participant and that third party. The Yoga Therapy Institute is not a party to that agreement and receives the full purchase amount directly from the External Payment Service Provider.

22.3 The Yoga Therapy Institute is not liable for the terms, conduct, or decisions of External Payment Service Providers, including but not limited to the approval or rejection of a deferred payment request, interest charges, or collection actions taken by that party against the Participant.

22.4 Complaints regarding an External Payment Service Provider must be submitted directly to that party in accordance with its own complaints procedure.

22.5 The Participant's payment obligation towards The Yoga Therapy Institute is deemed fulfilled at the moment The Yoga Therapy Institute has received the full amount from the External Payment Service Provider.

Article 23 – Refund policy

23.1 For Diploma Programmes, the general rule is that amounts paid are non-refundable, unless:

  1. The Yoga Therapy Institute cancels the agreement or the programme does not proceed;

  2. the Participant has exercised the right of withdrawal in time (where applicable);

  3. otherwise agreed in writing.

23.2 Instalments already paid under a Payment Plan are non-refundable. Personal circumstances, limited participation, or early termination do not constitute grounds for suspension, reduction, or waiver of payment obligations.

23.3 For Modules, Short Courses, and Video Series consisting entirely of Digital Content: once the right of withdrawal has lapsed in accordance with Articles 14, 16, and 18 respectively, no refund will be made.

23.4 The Yoga Therapy Institute operates a goodwill policy for exceptional circumstances. Requests must be submitted in writing with supporting reasons and will be assessed on a case-by-case basis.

CHAPTER 7 – INTELLECTUAL PROPERTY

Article 24 – Ownership

24.1 All intellectual property rights relating to the Educational Materials are vested in The Yoga Therapy Institute or its licensors.

24.2 The Participant is granted a personal, non-transferable, and limited right of use for their own study and learning purposes only.

24.3 Without the prior written consent of The Yoga Therapy Institute, the Participant is expressly prohibited from:

  1. reproducing, distributing, or publicly sharing Educational Materials;

  2. copying, sharing, or forwarding lessons, sessions, or recordings to third parties;

  3. using Educational Materials as the basis for any commercial offering, course, or training;

  4. using AI tools or automated systems to process or extract Educational Materials.

24.4 In the event of a violation, the Participant is liable for the full damage suffered by The Yoga Therapy Institute, without prejudice to any other legal remedies available.

Article 25 – Recordings of educational activities

25.1 Live educational activities, including online lessons, interactive sessions, and group meetings, may be recorded by The Yoga Therapy Institute.

25.2 Recordings may be used:

  1. to make them available to current or future students for review purposes;

  2. for reuse, in whole or in part, in other educational products of The Yoga Therapy Institute, including Modules, Short Courses, and Video Series.

25.3 By signing the Education Agreement (or by completing the enrolment process for Modules, Short Courses, or Video Series), the Participant grants The Yoga Therapy Institute a non-exclusive, worldwide, royalty-free, and unlimited licence to use their image, voice, name, and contributions as captured in recordings, for the purposes described in Article 25.2.

25.4 The Yoga Therapy Institute will use recordings with care and will not intentionally use them in a manner that is harmful to the Participant.

CHAPTER 8 – LIABILITY

Article 26 – Liability of The Yoga Therapy Institute

26.1 The Yoga Therapy Institute is not liable for indirect damage, consequential damage, loss of profit, lost savings, or non-material damage, unless such damage results from intentional misconduct or gross negligence on the part of The Yoga Therapy Institute.

26.2 The total liability of The Yoga Therapy Institute towards the Participant is in all cases limited to the amount paid by the Participant for the Diploma Programme, Module, Short Course, or Video Series concerned.

26.3 The Yoga Therapy Institute is not liable for damage arising from:

  1. the application by the Participant of knowledge acquired during the programme in clinical, therapeutic, or other professional contexts;

  2. technical failures at external platforms, payment providers, or communication tools outside the control of The Yoga Therapy Institute;

  3. incorrect or incomplete information provided by the Participant;

  4. the actions or omissions of External Payment Service Providers towards the Participant.

26.4 The Participant indemnifies The Yoga Therapy Institute against claims from third parties arising in connection with the performance of the agreement, to the extent that such liability is not the result of intentional misconduct or gross negligence on the part of The Yoga Therapy Institute.

Article 27 – Force majeure

27.1 The Yoga Therapy Institute is not obliged to perform its obligations if it is prevented from doing so as a result of force majeure.

27.2 Force majeure includes, among other things: illness of instructors, disruptions to digital infrastructure, pandemics, government measures, fire, and other events outside the control of The Yoga Therapy Institute.

27.3 In the event of force majeure, The Yoga Therapy Institute has the right to suspend performance or, if the force majeure situation lasts for more than three (3) months, to dissolve the agreement in whole or in part without any obligation to pay compensation.

CHAPTER 9 – PRIVACY AND DATA PROTECTION

Article 28 – Processing of personal data

28.1 The Mango Tree B.V. processes personal data of Participants in connection with the performance of the agreement and its business operations.

28.2 Processing is carried out in accordance with the General Data Protection Regulation (GDPR) and other applicable privacy legislation.

28.3 The legal basis for processing is primarily the performance of the agreement (Article 6(1)(b) GDPR), supplemented by legitimate interests and, where required, explicit consent.

28.4 Personal data will not be disclosed to third parties without the Participant's consent, unless required by law or necessary for the performance of the agreement (such as payment providers or technical platforms).

28.5 The Participant has the right to access, rectification, erasure, restriction of processing, and objection in accordance with the GDPR. Requests may be submitted via the contact details on the Website.

28.6 For further information, The Yoga Therapy Institute refers to the privacy statement on the Website.

CHAPTER 10 – TERMINATION

Article 29 – Termination by the Participant

29.1 The Participant may only terminate a Diploma Programme in writing, unless the parties have expressly agreed otherwise.

29.2 Termination does not release the Participant from any outstanding payment obligations, unless otherwise agreed in writing or the right of withdrawal applies.

29.3 For Modules, Short Courses, and Video Series, termination after the start of the course is not possible, unless the right of withdrawal has not yet lapsed.

29.4 The Paying Party may not terminate the agreement without the written consent of the Participant.

Article 30 – Termination by The Yoga Therapy Institute

30.1 The Yoga Therapy Institute may terminate the agreement with immediate effect in the event of:

  1. non-payment or late payment, following a notice of default;

  2. serious or repeated misconduct by the Participant;

  3. persistent failure to meet programme requirements;

  4. infringement of the intellectual property rights of The Yoga Therapy Institute.

30.2 Upon termination on the grounds of Article 30.1, there is no entitlement to a refund of amounts already paid, and the remaining course fee continues to be owed.

30.3 Termination is communicated by registered letter or by email with acknowledgement of receipt.

CHAPTER 11 – FINAL PROVISIONS

Article 31 – Complaints procedure

31.1 Complaints regarding the performance of the agreement must be submitted to The Yoga Therapy Institute as soon as possible, but no later than thirty (30) days after the complaint arises, in full detail and clearly described, via the contact details on the Website.

31.2 The Yoga Therapy Institute will respond within fourteen (14) calendar days of receipt of the complaint.

31.3 If a complaint cannot be resolved by mutual agreement, the Consumer may refer the matter to the competent court.

Article 32 – Governing law and jurisdiction

32.1 All agreements and these General Terms and Conditions are exclusively governed by Dutch law.

32.2 All disputes arising from or in connection with these agreements shall be submitted to the competent court in the Netherlands, unless mandatory law provides for a different court.

32.3 Without prejudice to the foregoing, the parties may opt for alternative dispute resolution, such as mediation.

Article 33 – Miscellaneous

33.1 The Yoga Therapy Institute reserves the right to amend these General Terms and Conditions. Amendments will be announced via the Website and will take effect thirty (30) days after publication, or at an earlier date if required by law.

33.2 For agreements concluded prior to an amendment taking effect, the previous version shall continue to apply for the duration of that agreement.

33.3 If any provision of these General Terms and Conditions is void or voidable, this does not affect the validity of the remaining provisions. In such a case, the parties shall agree on a replacement provision that reflects the intent of the original provision as closely as possible.

33.4 These General Terms and Conditions also apply to supplementary, amended, or follow-up agreements with the Participant, unless otherwise agreed in writing.
